Terms & conditions

  1. APPLICABILITY AND VALIDITY

1.1 Any delivery of products is subject to the following terms and conditions regarding sales and deliveries.

1.2 Deviations from these terms and conditions of sale and delivery shall only be effective if Bangs A/S confirm them in writing.

  1. ORDER CONFIRMATION

2.1 Order confirmations will be created only if expressly requested.

2.2 Cancellation or modification of an order must be sent to ordre@bangs.eu. Any changes to or cancellation of an order can only be made with Bangs A/S’ written approval.

  1. DELIVERY

3.1 Bangs A/S offers free shipping in Denmark if following conditions are met:

  •        The order exceeds 36 packages
  •        Delivery can be made within normal working hours (08.00 – 16.00)
  •        There are no special requirements for delivery i.e. ordering of slot-time, special lift, etc.

For orders below 36 packages a shipping fee of DKK 250 will be added in Denmark.

A free shipping agreement to countries in the rest of the world can be made with Bangs A/S.

3.2 Bangs A/S strives to deliver all goods within the time frame provided. However, if unforeseen transportation circumstances do arise, the lead times may vary.

3.3 If there are any special requests or specific requirements for the delivery, Bangs A/S may be required to add a shipping fee on the invoice. The fees are determined for each delivery.

3.4 Unless otherwise agreed, pallets and other package material are invoiced separately.

  1. PRICES

4.1 All prices are exclusive of VAT.

4.2 The final price will appear from the invoice from Bangs A/S. Applicable VAT rates, shipping fees and other charges will be added to the price.

  1. PAYMENT

5.1 The terms of payment for Bangs A/S’ products are prepayment / net cash, unless otherwise agreed.

5.2 A fee of 3%  is applied if the invoice from Bangs A/S is not paid at the due date. The fee is calculated per month based on the total amount of the invoice excluding VAT. In addition, Bangs A/S reserves the right to entrust unpaid invoices to a debt collection agency after four weeks from the due date on the invoice.

  1. RETENTION OF TITLE

6.1 Ownership of the goods remains vested in Bangs A/S until payment is registered in the bank of Bangs A/S.

  1. CONSEQUENTIAL DAMAGES & INDIRECT LOSSES

7.1 Bangs A/S is not at any time liable to the buyer for any consequential or indirect loss caused by or in relation to an agreement governed by these terms and conditions of sale and delivery, including other agreements that may have been concluded between the buyer and Bangs A/S.

  1. COMPLAINTS

8.1 The buyer must claim defects, delays and other damages by sending an email to bangs@bangs.eu. In the case of defects on receipt of the goods, the buyer must report these to bangs@bangs.eu within 2 days from receipt of delivery. Bangs A/S then forwards this report to its carrier. In addition, it is the responsibility of the buyer to accept the goods “with reservation” in case of defects.

  1. FORCE MAJEURE

9.1 Bangs A/S is entitled to cancel an order or postpone an agreed delivery of products. In no event shall Bangs A/S be responsible for any failure or delay in the performance of its obligations hereunder arising out of or caused by, directly or indirectly, forces beyond its control, including, without limitation, civil or military disturbances, public restrictions, import or export ban, strikes, work stoppages, natural catastrophes, including, without limitation, earthquakes, floods, hurricanes, volcanic eruptions, fire or similar occurrences, which should not or could have been foreseen by the parties at the time of ordering.

  1. PARTIAL INVALIDITY

10.1 Should any provision of these terms and conditions of sale and delivery become invalid, it does not affect the validity of all other provisions or agreements.

  1. DISPUTES

11.1 Any disputes between the parties regarding the understanding or scope of these terms and conditions of sale and delivery are decided under Danish Law. Any dispute, which the parties are unable to resolve themselves, shall be settled in Danish courts.
